1. Introduction and Scope

Welcome to SolarScanner. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you and Contractor Web App (CWA) Ltd. ("SolarScanner," "Company," "we," "us," or "our") governing your access to and use of our services.

These Terms apply to all SolarScanner products and services, including:

• The SolarScanner website located at www.solarscanner.ai ("Website")
• The SolarScanner mobile application for iOS and Android devices ("Mobile App")
• The SolarScanner embeddable plugin for third-party websites ("Plugin")
• Any related APIs, software, features, and services

Throughout this document, we refer to all of these collectively as the "Service" or "SolarScanner."

2. Definitions

"Account"

The account you create to access and use certain features of the Service.

"Content"

Any text, images, photos, graphics, data, information, or other materials uploaded, submitted, or displayed through the Service.

"End User"

Any individual who accesses or uses the Plugin on a Plugin User's website. End Users are visitors to websites that have integrated the SolarScanner Plugin.

"Personal Data"

Has the meaning given to it in our Privacy Policy.

"Plugin User"

Any business, organization, or individual that has integrated the SolarScanner Plugin into their website. Plugin Users are our direct customers for the Plugin service.

"Service"

All SolarScanner products, including the Website, Mobile App, Plugin, and any related services, features, or APIs.

"Solar Analysis"

The solar potential analysis, estimates, and related data provided through the Service using the Google Solar API.

"Subscription"

A paid plan that provides access to certain features of the Service.

"User," "you," or "your"

Any individual or entity that accesses or uses the Service, including End Users and Plugin Users.

"User Content"

Any Content that you upload, submit, or transmit through the Service.

3. Acceptance of Terms

3.1 Agreement to Terms

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

3.2 Capacity to Contract

By using the Service, you represent and warrant that:

• You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater;
• You have the legal capacity and authority to enter into this Agreement;
• If you are using the Service on behalf of a business or entity, you have the authority to bind that entity to these Terms;
• Your use of the Service does not violate any applicable law or regulation.

3.3 Additional Terms

Certain features of the Service may be subject to additional terms, guidelines, or policies. Any such additional terms are incorporated into these Terms by reference. In the event of a conflict, the additional terms will govern with respect to that specific feature or service.

4. Description of Service

4.1 Overview

SolarScanner provides solar potential analysis services that help users evaluate the solar energy potential of buildings and properties. Our Service uses the Google Solar API to analyze rooftop characteristics, estimate solar energy production, and provide related insights.

4.2 Service Features

The Service may include, but is not limited to:

• Solar potential analysis for residential and commercial properties
• Rooftop analysis including dimensions, orientation, and shading
• Solar energy production estimates
• Solar panel configuration recommendations
• Financial savings estimates
• Environmental impact calculations
• Integration tools for solar businesses (Plugin)
• Mobile tools for on-site analysis (Mobile App)

4.3 Data Sources

Solar analysis results are generated using:

• Google Solar API for solar potential and building data
• Google Places API for address validation and geocoding
• Google Maps for visualization
• Third-party data sources as applicable

4.4 Service Availability

We strive to maintain continuous availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical issues or outages
• Third-party service disruptions (including Google API availability)
• Force majeure events

5. User Accounts

5.1 Account Creation

To access certain features of the Service, you may be required to create an Account. When creating an Account, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your Account information;
• Maintain the security and confidentiality of your login credentials;
• Accept responsibility for all activities that occur under your Account;
• Notify us immediately of any unauthorized use of your Account.

5.2 Account Security

You are responsible for safeguarding your Account credentials. We recommend using a strong, unique password and enabling any available security features. We are not liable for any loss or damage arising from your failure to protect your Account credentials.

5.3 Account Restrictions

You may not:

• Create multiple Accounts for the same person or entity without our permission
• Share your Account credentials with others
• Transfer or sell your Account to another party
• Use another person's Account without authorization

5.4 Account Termination

We reserve the right to suspend or terminate your Account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Failure to pay applicable fees
• At our sole discretion

7. Acceptable Use Policy

7.1 Permitted Uses

You may use the Service for:

• Personal evaluation of solar potential for properties you own or are considering
• Business purposes related to the solar energy industry
• Integration into your business offerings (Plugin Users with valid subscriptions)
• Educational and research purposes

7.2 Prohibited Conduct

You agree not to:

• Violate any applicable law, regulation, or third-party rights;
• Use the Service for any fraudulent, deceptive, or illegal purpose;
• Interfere with or disrupt the Service or servers connected to the Service;
• Attempt to gain unauthorized access to any part of the Service;
• Use automated tools, bots, scrapers, or similar technology to access the Service without our express permission;
• Transmit viruses, malware, or other harmful code;
• Harvest or collect user information without consent;
• Impersonate any person or entity or misrepresent your affiliation;
• Use the Service to send spam, unsolicited communications, or advertisements;
• Circumvent any access controls or usage limits;
• Resell, redistribute, or sublicense the Service without authorization;
• Use the Service in any way that could damage, disable, or impair our systems;
• Engage in any activity that interferes with other users' enjoyment of the Service;
• Use the Service to develop a competing product or service;
• Remove, alter, or obscure any proprietary notices, attributions, or branding.

7.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. Google API Services Terms

8.1 Google Terms of Service

By using the Service, you agree to be bound by:

• Google Maps Platform Terms of Service
• Google Maps/Google Earth Additional Terms of Service
• Google Privacy Policy

8.2 Google API Restrictions

In connection with your use of Google API Services through our Service, you agree not to:

• Copy, store, or cache Google content (including map imagery, solar data, or building information) except as expressly permitted by Google's terms;
• Use Google content for any unlawful or unauthorized purpose;
• Use Google content to create or augment a competing product or service;
• Use Google content in a manner that violates any third-party rights;
• Remove, alter, or obscure Google's branding, attribution, or copyright notices;
• Use automated means to access Google content beyond what is necessary for the Service;
• Misrepresent the source of Google content or data.

8.3 Attribution Requirements

Solar analysis data provided through the Service includes data from Google. The following attribution applies:

8.4 No Warranty of Google Services

Google API Services are provided by Google and are subject to Google's terms. We do not guarantee the accuracy, availability, or reliability of Google API Services.

8.5 Changes to Google Services

Google may modify, suspend, or discontinue its API Services at any time. Such changes may affect the functionality of our Service. We are not liable for any impact caused by changes to Google API Services.

8.6 Google Solar API Specific Terms

The Google Solar API provides building insights and solar potential data. By using solar analysis features, you acknowledge:

• Solar data is provided by Google and subject to Google Solar API Policies
• Data availability varies by geographic location
• Solar estimates are based on Google's algorithms and available imagery
• Results should be verified by professional solar assessors before making installation decisions

"SolarScanner," the SolarScanner logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Contractor Web App (CWA) Ltd. or its affiliates. You may not use such marks without our prior written permission.

10.3 Third-Party Intellectual Property

Google, Google Maps, Google Solar API, and related marks are trademarks of Google LLC. Apple, App Store, iOS, and related marks are trademarks of Apple Inc. Android, Google Play, and related marks are trademarks of Google LLC. All other trademarks are the property of their respective owners.

10.4 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes.

10.5 Restrictions

Except as expressly permitted, you may not:

• Copy, modify, or distribute any part of the Service;
• Reverse engineer, decompile, or disassemble the Service;
• Create derivative works based on the Service;
• Remove any copyright, trademark, or other proprietary notices;
• Use our intellectual property without express written permission;
• Frame or mirror any part of the Service without our consent.

11. User Content and Data

You retain ownership of any Content you submit through the Service. By submitting Content, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display such Content solely for the purpose of providing and improving the Service.

You are solely responsible for any Content you submit and represent that:

• You own or have the necessary rights to the Content;
• The Content does not violate any law or third-party rights;
• The Content is accurate and not misleading;
• The Content does not contain viruses or harmful code.

We reserve the right to remove any Content that violates these Terms or that we find objectionable, without notice or liability to you.

12. Solar Analysis Disclaimers

12.1 Estimates Only

Solar analysis results provided through the Service are ESTIMATES ONLY and should not be relied upon as guarantees or warranties of actual solar energy production, financial savings, or other outcomes.

12.2 Factors Affecting Accuracy

Solar analysis results may be affected by numerous factors, including but not limited to:

• Accuracy of Google Solar API data
• Changes in weather patterns and climate
• Roof condition, age, and structural capacity
• Tree growth, new construction, or other shading changes
• Equipment efficiency and degradation
• Installation quality and configuration
• Local utility rates and policies
• Government incentives and regulations
• Maintenance and cleaning practices

12.3 No Professional Advice

The Service is NOT a substitute for professional solar assessment, engineering analysis, structural evaluation, electrical inspection, or financial advice. We strongly recommend that you:

• Obtain a professional on-site solar assessment before making any decisions;
• Consult with licensed solar installers and contractors;
• Verify structural integrity with qualified engineers;
• Seek independent financial advice regarding solar investments;
• Check local building codes, permits, and HOA requirements.

12.4 Data Source Limitations

Solar analysis data is provided by Google via the Google Solar API. We do not independently verify this data and cannot guarantee its accuracy, completeness, or timeliness. Google may update or change its data at any time.

12.5 No Guarantee of Results

We do not guarantee any specific results from using the Service, including but not limited to:

• Accuracy of energy production estimates
• Financial savings or return on investment
• Eligibility for incentives or rebates
• Suitability of your property for solar installation
• Performance of solar equipment

12.6 Your Responsibility

You acknowledge that any decisions you make based on information from the Service are made at your own risk and discretion. You are responsible for conducting your own due diligence before making any solar-related decisions.

13. Subscription and Payment Terms

13.1 Free and Paid Services

The Service may include both free and paid features. Certain features, including advanced Plugin functionality, may require a paid Subscription.

13.2 Subscription Plans

Details of available Subscription plans, including features and pricing, are available on our Website. We reserve the right to modify, add, or remove Subscription plans at any time.

13.3 Payment

• All fees are stated in the currency specified on our Website;
• Fees are exclusive of applicable taxes unless otherwise stated;
• You agree to pay all fees and taxes associated with your Subscription;
• Payment is due in advance for the applicable billing period;
• We use third-party payment processors and do not store your payment information.

13.4 Automatic Renewal

Unless you cancel before the end of your billing period:

• Subscriptions automatically renew for successive periods;
• You authorize us to charge your payment method for renewal fees;
• Renewal fees are based on the then-current pricing.

13.5 Cancellation

• You may cancel your Subscription at any time through your Account settings or by contacting us;
• Cancellation takes effect at the end of the current billing period;
• You will retain access to paid features until the end of your billing period;
• No refunds are provided for partial billing periods unless required by law.

13.6 Refunds

Except as required by applicable law, all fees are non-refundable. We may, at our sole discretion, provide refunds or credits in certain circumstances.

13.7 Price Changes

We may change our pricing at any time. Price changes for existing Subscriptions will take effect at the next renewal period, and we will provide reasonable advance notice of any price increases.

13.8 Failed Payments

If payment fails, we may:

• Retry the payment method on file;
• Suspend or downgrade your Account;
• Terminate your Subscription after reasonable notice.

14. Limitation of Liability

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

14.5 Basis of the Bargain

YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND SOLARSCANNER, AND THAT SOLARSCANNER WOULD NOT PROVIDE THE SERVICE WITHOUT THESE LIMITATIONS.

15. Indemnification

15.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless SolarScanner, its affiliates, and their respective directors, officers, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service;
• Your violation of these Terms;
• Your violation of any applicable law or third-party rights;
• Your User Content;
• Your negligence or willful misconduct;
• Any dispute between you and a third party;
• For Plugin Users: Your End Users' use of the Plugin on your website.

15.2 Procedure

We will provide you with prompt notice of any claim subject to indemnification. You shall not settle any claim without our prior written consent. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification.

16. Warranty Disclaimer

16.1 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant or guarantee the availability, accuracy, or reliability of any third-party services, including Google API Services. Third-party services are provided subject to their own terms and warranties.

NOTHING IN THE SERVICE CONSTITUTES PROFESSIONAL ADVICE (INCLUDING ENGINEERING, FINANCIAL, LEGAL, OR TAX ADVICE). ANY RELIANCE ON THE SERVICE IS AT YOUR OWN RISK.

17. Termination

17.1 Termination by You

You may terminate your Account and stop using the Service at any time by:

• Canceling your Subscription (if applicable) through Account settings;
• Deleting your Account through Account settings;
• Contacting us at support@solarscanner.ai.

17.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to:

• Violation of these Terms;
• Fraudulent, abusive, or illegal activity;
• Non-payment of fees;
• Extended inactivity;
• Discontinuation of the Service;
• At our sole discretion for any reason.

17.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases;
• Your Account and associated data may be deleted;
• Any outstanding fees become immediately due;
• Provisions that by their nature should survive will continue in effect, including Sections 10 (Intellectual Property), 12 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Warranty Disclaimer), and 19 (Governing Law).

17.4 Data Retrieval

We recommend that you export any data you wish to retain before terminating your Account. We are not obligated to retain your data after termination, except as required by law.

17.5 No Liability for Termination

We will not be liable to you or any third party for any termination of your access to the Service.

18. Modifications to Terms and Service

18.1 Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our Website;
• Updating the "Last Updated" date;
• Sending notice via email or through the Service for significant changes.

18.2 Acceptance of Modified Terms

Your continued use of the Service after any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

19. Governing Law and Dispute Resolution

19.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.

19.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Service.

19.3 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@solarscanner.ai to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

19.4 Waiver of Class Actions

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

19.5 Time Limitation

Any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after such claim arose, or be forever barred.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and SolarScanner regarding the Service and supersede all prior agreements, understandings, and communications.

20.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

20.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless in writing and signed by us.

20.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

20.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that Google LLC is a third-party beneficiary of Section 8 (Google API Services Terms).

20.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, labor disputes, government actions, or failures of third-party services.

20.7 Notices

We may provide notices to you through the Service, by email, or by other reasonable means. You may provide notices to us at the contact information below.

20.8 Relationship

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and SolarScanner.

20.9 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

20.10 Language

These Terms are written in English. Any translated version is provided for convenience only. In the event of a conflict, the English version shall prevail.
